Terms of Service

IDIG FOTO, LLC Photography & Videography Services

1. Definitions

a. “Client” refers to the individual or entity engaging IDIG FOTO, LLC to provide photography and/or videography services.

b. “Services” refers to professional photography and/or videography services provided by IDIG FOTO, LLC as outlined in a written agreement, invoice, or booking confirmation.

c. “Deliverables” refers only to the final edited image and/or video files expressly listed in the Client’s invoice or agreement.

d. “Images” refers to the final edited photographs delivered by IDIG FOTO, LLC.

e. “Video Content” refers to final edited video files delivered by IDIG FOTO, LLC.

2. Scope of Services

IDIG FOTO, LLC agrees to provide professional Services as described in the written agreement or invoice approved by the Client. Any services not expressly listed are excluded.

3. Payment Terms

The Client agrees to pay all fees as outlined in advance of Services being rendered unless otherwise agreed in writing. Failure to remit payment may result in suspension, delay, or termination of Services and delivery.

All payments are non-refundable unless otherwise stated in writing.

4. Deliverables & Editing

Only final edited Deliverables are included. Editing style, color grading, cropping, and artistic interpretation are at the sole discretion of IDIG FOTO, LLC.

Minor imperfections or subjective preferences do not constitute grounds for refunds or re-edits.

5. RAW Photos, Raw Video Footage & Project Files

Unless explicitly stated in writing and itemized on an invoice or agreement, RAW photo files, unedited images, raw video footage, and project files are not included.

RAW files and raw video footage are unfinished work products and remain the exclusive property of IDIG FOTO, LLC. These materials do not represent the final artistic quality of the Services.

If requested, RAW photos or raw video footage may be licensed or sold only at IDIG FOTO, LLC’s sole discretion, subject to additional fees and a separate written agreement.

Project files (including but not limited to Adobe Lightroom catalogs, Photoshop PSD files, Premiere Pro, Final Cut Pro, DaVinci Resolve, or similar) are not deliverables and will not be released under any circumstances.

6. Copyright & Usage License

All Images and Video Content remain the intellectual property of IDIG FOTO, LLC.

The Client is granted a limited, non-exclusive, non-transferable license to use the Deliverables for personal or internal business use only, as defined in the agreement.

Commercial use, resale, sublicensing, or significant alteration is prohibited without prior written consent.

IDIG FOTO, LLC retains the right to use Images and Video Content for portfolio, marketing, promotional, and educational purposes unless otherwise agreed in writing.

7. Model Releases

The Client is responsible for obtaining all necessary permissions and model releases for individuals featured in the Images or Video Content when required.

The Client agrees to indemnify and hold harmless IDIG FOTO, LLC from any claims arising from failure to obtain such permissions.

8. Revisions

Unless otherwise stated, Services include basic editing only. Additional revisions, alternate edits, format changes, or aspect-ratio versions may incur additional fees.

9. Gallery Delivery & Archiving

Galleries and download links are provided for a limited time. IDIG FOTO, LLC does not guarantee long-term storage beyond the stated delivery window.

The Client is responsible for downloading and backing up Deliverables upon receipt.

10. Limitation of Liability

IDIG FOTO, LLC shall not be liable for indirect, incidental, special, or consequential damages. Liability, if any, shall be limited to the amount paid by the Client for Services.

11. Force Majeure

IDIG FOTO, LLC shall not be held liable for failure to perform due to events beyond reasonable control, including but not limited to illness, equipment failure, weather conditions, acts of God, or government restrictions.

12. Termination

Either party may terminate the agreement in writing. Upon termination, the Client must cease use of the Images and Video Content unless otherwise agreed.

13. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the state in which IDIG FOTO, LLC is registered.

14. Entire Agreement

These Terms constitute the entire agreement between the parties and supersede all prior discussions or representations.

By booking Services or accessing Deliverables, the Client acknowledges acceptance of these Terms.
